1 - Use of Platform

1.1.

Eligibility

You must be at least 18 years old to use our platform and services. By creating an account, you confirm that you meet this age requirement. If you are under 18, you may only use the platform with the involvement of a parent or guardian who agrees to these Terms on your behalf.

1.2.

Account Ownership

When creating an account on VCFpay, you must provide accurate and complete information. The person creating the account will be considered the account owner unless it is created on behalf of a business entity, in which case the business entity will be the account owner. If you register on behalf of a business, you confirm that you have the authority to bind the company to these Terms. The Free eCommerce System is free for the lifetime of the eCommerce account. Any one-time fee services will not incur additional costs if an active AI-powered CRM account is available for ongoing maintenance, updates, and support.

1.2.1

Intellectual Property

All websites, domain names, advertising accounts, custom audiences, affiliate programs, social media accounts, AI-powered CRM and training, landing pages, images, targeting, copy, ads, information guides, phone numbers, newsletters, training documents, scripts, reports, and any other materials, systems, offer brand names, technology, or distribution channels deployed, shared, created, or used during this agreement shall remain the exclusive property of VCFpay, regardless of any input or contribution from the Client in their development. The inquiries, sales, orders, appointments, reservations, opportunities, and customer database generated as part of our system will always be owned exclusively by the Client.

1.3.

Lawful Use

You agree to use VCFpay only for lawful purposes. You are responsible for ensuring your platform complies with all applicable laws and regulations. You must not use our platform to engage in any prohibited activities, including but not limited to fraud, harassment, or any activity that could harm others.

1.4.

Privacy

Your privacy is important to us. By using VCFpay, you consent to our collection, use, and sharing of your information as described in our Privacy Policy. You also agree to implement and maintain a privacy policy for your customers that provides protection at least equal to our Privacy Policy. Ensure that your customers are aware of and consent to your privacy practices.

1.5.

Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately if you suspect any unauthorized access to your account. We reserve the right to deactivate your account if we believe it has been compromised.

1.6.

Communication Services

VCFpay may provide communication tools like SMS, email, and voice call capabilities. You are responsible for all communications sent using these tools and must comply with applicable laws, including the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act. VCFpay is not responsible for your compliance with these laws.

1.7.

Third-Party Services

Our platform may include access to third-party services. VCFpay is not responsible for the usability or availability of these services. If you pause or delete your account, certain features, such as assigned phone numbers or email addresses, may not be retrievable upon reactivation.

1.8.

Content

You retain ownership of the content you post on VCFpay. However, by posting content, you grant us a non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content. You are responsible for ensuring that your content does not infringe on third-party rights and complies with all applicable laws.

2 - Payment and Subscription

2.1.

Fees

Your use of VCFpay is subject to the payment of fees as outlined in your subscription plan. Fees are billed in advance and are non-refundable, except as described in these Terms. You agree to provide accurate billing information and to keep it updated.

2.2.

Taxes

You are responsible for all applicable taxes and governmental fees associated with your use of VCFpay. We may collect taxes on your behalf as required by law.

2.3.

Refunds

Except as required by law, all fees are non-refundable. If you cancel your subscription, you can access the service until your current billing period ends. We reserve the right to issue or deny refunds at our sole discretion.

2.4.

Overdue Payments

We may suspend or terminate your access to VCFpay if we cannot process your payment. You are responsible for any fees or charges incurred due to overdue payments.

3 - Termination

3.1.

3.2.

Termination by Us

We may suspend or terminate your account at our discretion, with or without notice, if we believe you have violated these Terms or engaged in fraudulent or illegal activities.

3.3.

Effect of Termination

Upon termination, your right to use VCFpay will immediately cease. However, any provisions of these Terms that should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

4 - Disclaimers and Limitations of Liability

4.1.

Disclaimer of Warranties

VCFpay is provided "as is" and "as available," without any warranties, either express or implied. We do not warrant that the platform will be uninterrupted or error-free.

4.2.

Limitation of Liability

To the fullest extent permitted by law, VCFpay will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

Your use or inability to use the platform.Any unauthorized access to or use of our servers and/or any personal information stored therein.Any interruption or cessation of transmission to or from the platform.Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our platform by any third party.Any errors or omissions in any content, or any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the platform.

Changes to Terms

We may update these Terms from time to time. We will notify you of any changes by posting them on our website or through other communication channels. Your continued use of VCFpay after such changes constitutes your acceptance of the new Terms.

5.2.

Governing Law

These Terms are governed by the laws of the State of Florida without regard to its conflict of law principles. Any disputes arising from these Terms will be resolved in the courts of Florida.

5.3.

Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect.

5.4.

Entire Agreement

These Terms constitute the entire agreement between you and VCFpay regarding your use of the platform and supersede any prior agreements, understandings, or arrangements between you and VCFpay, whether written or oral.

5.5.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and VCFpay's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

5.6.

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without VCFpay's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. VCFpay may freely assign or transfer these Terms without restriction.
